Welcome to the Optimum Works, Inc. Partnership Program! These terms and conditions ("Terms") govern your participation in the program. By applying to and participating in the program, you agree to be bound by these Terms. Please read them carefully.
1. Partnership Program Overview:
The Optimum Works, Inc. Partnership Program offers exclusive discounts to approved partners who frequently purchase handrails and railings for their projects. This program is intended for contractors, interior designers, homebuilders, and similar professionals or businesses.
2. Discount Structure:

Select Partner: Upon approval into the program, partners will receive 10% off all orders until their cumulative spending with Optimum Works, Inc. reaches $3,000.

Premier Partner: For cumulative spending between $3,000.01 and $10,000, partners will receive 15% off all orders.

Elite Partner: Once a partner's cumulative spending exceeds $10,000, they will receive a lifetime discount of 20% off all orders.
What if I have already spent enough with you to be in the Premier Partner or Elite Partner Tier before I was accepted into the Partnership Program?
- Your partnership tier automatically starts at the tier that corresponds with how much you've spent with us. For example, if you have already spent $4,000 with us and are accepted into the partnership program, you will start in the Premier Partner Tier and are eligible for 15% off future orders.
How Discounts Apply when Entering a New Partner Tier:

If you enter a new partner tier when placing an order, your new tier discount will not apply until the following orders.
- For example, if you are a Select Partner and you have already spent $2,000 with us. If you go to place a $1,500 order as your next order, we do not apply 10% off for $1,000 of the order and then 15% off for the other $500 of the order (there is not an easy way to do this systematically). You will simply be eligible for 15% off on the following order/s.

IMPORTANT NOTICES:
- Your partnership discount will not apply to any past orders. It is only valid for orders placed after you have been accepted into the program.

Applying Your Partnership Discount
- To ensure you receive your well-deserved partnership discount, please remember to apply your unique code at the time of checkout.
- While we understand that mistakes happen, we are unable to retroactively apply discounts to past orders. This is due to the potential financial and operational complications it could create for our business.
- For example, if you place a $5,000 order and forget to use your 10% discount code, we won't be able to refund the $500 difference later on.
- We appreciate your understanding and cooperation in applying your discount code during the checkout process. This helps us maintain accurate records and ensures you receive the correct pricing for your orders."

Partnership Discount Code vs Manual Discount:
- While we aim to allow you to use your partnership discount on custom orders, there may be instances where we need to manually apply a discount on our end. In these cases, your partnership discount may not be eligible for that specific order.
- If an error occurs and you are able to apply your partnership discount in addition to a manually applied discount, we reserve the right to invoice you for the difference exceeding your eligible partnership tier discount for that order.
- We understand this may seem complicated, so please don't hesitate to contact us with any questions about custom orders and discounts. We're here to help!"
3. Pricing and Product Availability:
Optimum Works, Inc. reserves the right to change product prices and service fees at any time. However, partner discounts will continue to apply to any new prices. Product availability is subject to change without notice.
4. Shipping Costs:
Discounts apply only to the order total and do not apply to shipping charges.
5. Partnership Status and Termination:

Inactivity: If a partner does not place an order within one year, Optimum Works, Inc. reserves the right to remove them from the partnership program.

Other Termination Reasons: Optimum Works, Inc. reserves the right to terminate a partnership for any other reason deemed necessary, including but not limited to:

Violation of these Terms.

Misrepresentation of partnership status.

Unethical or illegal business practices.

Failure to meet minimum revenue volume thresholds (as determined by Optimum Works, Inc.) within a one-year period. Initially, we start out with a $3,000 minimum annual revenue threshold per partner but this is subject to change.

Program Updates: Optimum Works, Inc. reserves the right to update the qualifications for remaining in the program to ensure quality partnerships. Partners will be notified of any changes to program requirements.
6. Eligibility:
The Partnership Program is intended for contractors, interior designers, homebuilders, and similar professionals or businesses that frequently require handrails and railings. Optimum Works, Inc. reserves the right to determine eligibility for the program.
7. Modifications to Terms:
Optimum Works, Inc. reserves the right to modify these Terms at any time. Partners will be notified of any changes. Continued participation in the program following notification constitutes acceptance of the modified Terms.
8. Disclaimer of Warranties:
Optimum Works, Inc. makes no warranties, express or implied, regarding the Partnership Program or its benefits.
9. Limitation of Liability:
Optimum Works, Inc. shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the Partnership Program. By joining our program, you are also agreeing to be bound by our terms of service and privacy policy.
10. Governing Law:
These Terms shall be governed by and construed in accordance with the laws of the state of California in the United States.
11. Entire Agreement:
These Terms constitute the entire agreement between Optimum Works, Inc. and the partner regarding the Partnership Program and supersede all prior or contemporaneous communications and proposals, whether oral or written.
